Terms and Conditions

1. Definitions

• "Aqd", "we", "us", "our" means the operator of the Aqd matrimonial platform, based in Dhaka, Bangladesh.
• "Services" means the Aqd website, mobile applications, APIs, and all related features, content, and communications.
• "User", "you" means any person who accesses, registers for, or uses the Services, whether on their own behalf or on behalf of an eligible family member.
• "Content" means any information, text, photos, messages, or other material submitted to or generated on the Services.
• "Managed Profile" means a profile created and administered by a parent, sibling, or relative on behalf of a marriage-eligible candidate with that candidate's knowledge and consent.

2. Acceptance of Terms

By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you are creating a Managed Profile, you represent that you are authorised to accept these Terms on the candidate's behalf and that the candidate consents to the processing described in the Privacy Policy. If you do not agree, you must not use the Services.

3. Eligibility and Account Registration

• You must be at least 18 years old and legally eligible to marry under the laws applicable to you.
• You must be unmarried, or legally free to remarry (e.g. divorced or widowed), and must represent your marital status truthfully.
• You must provide accurate, complete, and current information, and keep it updated.
• You are responsible for safeguarding your credentials and all activity under your account.
• You may hold only one account and must not transfer or share it.
• We may refuse, suspend, or terminate accounts that are inaccurate, misleading, duplicated, fraudulent, or in breach of these Terms.

4. Nature of Service and No Guarantee

Aqd is a technology-enabled matrimonial facilitation platform. We provide tools for discovery, communication, and compatibility assessment; we do not act as a marriage broker, guarantor, or agent. Aqd does not guarantee marriage outcomes, relationship compatibility, the accuracy of any profile, or the identity, character, or conduct of any User. Any engagement, communication, meeting, or decision made through the Services is at your own discretion and risk.

5. Safety, Offline Meetings, and Fraud

Your safety is your own responsibility. We strongly recommend that you:

• Independently verify the identity and claims of anyone you meet through the Services.
• Involve family or trusted persons and meet first in safe, public settings.
• Never send money, financial details, dowry, gifts, or documents to anyone you have met on the platform. Requests for money are a common sign of fraud.
• Report suspicious, abusive, or unlawful behaviour to us promptly through the in-app reporting tools or the contact details below.

Aqd condemns dowry demands, coercion, and any conduct unlawful under Bangladesh law, including the Dowry Prohibition Act, 2018. We do not tolerate the use of the Services for such purposes.

6. User Conduct and Prohibited Activities

You agree not to:

• Impersonate any person or misrepresent identity, age, marital status, or intentions.
• Upload unlawful, defamatory, harassing, obscene, hateful, or discriminatory Content.
• Solicit money, run scams, or engage in financial or emotional exploitation.
• Harass, stalk, threaten, or share the private information of any person without consent.
• Collect, scrape, harvest, or misuse the personal data of other Users.
• Use bots, reverse-engineering, malware, or unauthorised automation or access tools.
• Use the Services for any commercial, promotional, or non-matrimonial purpose.
• Circumvent security, verification, moderation, or access controls.

7. Verification, Safety, and Moderation

We may use identity and phone verification, AI-supported trust signals, behavioural monitoring, and manual review to maintain service quality and safety. We may remove Content, restrict visibility, limit interactions, or suspend or terminate accounts in accordance with these Terms and applicable law. Verification badges, where offered, indicate that certain checks were performed but are not a warranty of any User's identity or intentions.

8. Intellectual Property Rights

All rights, title, and interest in the Services — including software, branding, design, text, graphics, and proprietary technology — belong to Aqd or its licensors. Subject to compliance with these Terms, we grant you a limited, revocable, non-transferable, non-exclusive licence to use the Services for personal, lawful, matrimonial purposes only. The name "Aqd", our logos, and related marks may not be used without our prior written permission.

9. User Content and Licence

You retain ownership of Content you submit and are solely responsible for it. You grant Aqd a worldwide, royalty-free, non-exclusive licence to host, store, process, reproduce, adapt, and display such Content solely to operate, secure, moderate, and improve the Services. You represent that you own or have the necessary rights to the Content you submit and that it does not infringe any third-party rights.

10. Copyright and Takedown

If you believe Content on the Services infringes your intellectual property or privacy rights, contact us at legal@aqd.bd with a description of the material, its location, and your contact details. We will review and, where appropriate, remove or disable access to the reported Content and may terminate repeat infringers.

11. Fees, Subscriptions, and Refunds

• Certain features may require payment. Applicable fees, billing cycles, taxes, and currency will be disclosed at the point of purchase.
• Subscriptions may renew automatically for the same period unless cancelled before the renewal date. You can manage or cancel through your account or app store settings.
• Purchases made through the Apple App Store or Google Play are also subject to those stores' billing and refund policies.
• Except where required by the Consumer Rights Protection Act, 2009 or other applicable law, fees are non-refundable once the relevant services have been consumed.

12. Third-Party Services and Links

The Services may integrate or link to third-party services (such as sign-in, payment, or analytics providers). We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is governed by their own terms and privacy policies.

13. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, security, or error-free operation.

14. Limitation of Liability

To the maximum extent permitted by law, Aqd and its directors, officers, employees, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of data, reputation, profits, or opportunities, arising from or related to your use of the Services, your interactions with other Users, or any offline meeting or relationship. Where liability cannot be excluded, our total aggregate liability is limited to the greater of the amount you paid us in the twelve months before the claim or BDT 5,000.

15. Indemnity

You agree to defend, indemnify, and hold harmless Aqd and its affiliates from any claim, demand, liability, loss, or expense (including reasonable legal fees) arising out of your misuse of the Services, your Content, your breach of these Terms, or your violation of any law or third-party right.

16. Suspension and Termination

We may suspend, restrict, or terminate access at our reasonable discretion for violations of these Terms, legal obligations, security concerns, or platform integrity reasons. You may stop using the Services at any time and request account deletion, subject to lawful retention obligations described in the Privacy Policy. Sections that by their nature should survive termination (including Sections 8–10 and 13–18) will survive.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of Bangladesh. The parties will first attempt to resolve any dispute amicably through good-faith discussion with our Grievance Officer (Section 19). If unresolved within 30 days, the dispute may be referred to arbitration in Dhaka under the Arbitration Act, 2001, conducted in English or Bengali. Subject to applicable law and mandatory consumer rights, the courts of Dhaka, Bangladesh have exclusive jurisdiction.

18. General Provisions

• Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
• Severability: if any provision is held invalid, the remaining provisions continue in full force.
• No waiver: our failure to enforce any right is not a waiver of it.
• Assignment: you may not assign these Terms; we may assign them to a successor in a merger, acquisition, or restructuring.
• Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and Aqd regarding the Services.

19. Changes to These Terms

We may revise these Terms from time to time. Material changes will be notified via in-app notice, email, or website publication at least a reasonable period before they take effect. Continued use after the effective date of the revised Terms constitutes acceptance.

20. Grievance Officer and Legal Notices

For legal notices, complaints, or grievances, contact our Grievance Officer. We aim to acknowledge grievances within 72 hours and resolve them within 30 days.
